Terms of Engagement
1. Sovereign Architecture Agreement
These Terms of Engagement ("Terms") constitute a binding architectural pact between you ("Client" or "Entity") and Arutech Digital Ltd. ("Foundry"). By engaging our Studio Dialogue, commissioning enterprise systems, or utilizing our secure cloud infrastructures, you agree to submit to the governance protocols outlined herein.
2. Scope of Engineering
Arutech Digital specializes in the construction of bespoke, high-performance software systems. Deliverables may include, but are not limited to, native mobile applications (iOS/Android), custom web platforms, and secure cloud infrastructures. Specific technical schematics, delivery timelines, and hardware-grade cryptographic proof requirements will be codified in a distinct Institutional SLA or Statement of Work (SOW).
3. Intellectual Property and Licensing
Unless an exclusive sovereignty transfer is mutually executed via contract, Arutech Digital retains underlying intellectual property rights to our proprietary "Enclave Engine Core" architectures, foundational frameworks, and pre-existing library logic. Clients are granted an irrevocable, enterprise-wide license to utilize the compiled deliverables as specified in their bespoke SOW. Proprietary business logic developed specifically for the Client remains the exclusive property of the Client.
4. Hybrid Execution and Cloud Liability
We engineer for deterministic hybrid execution. While we utilize industry-leading cloud partners to ensure near-zero latency (e.g., 0.4ms local bus standards) and cryptographic integrity (AES-GCM 256-bit), Arutech Digital is not liable for systemic failures originating from third-party edge networks or underlying infrastructure providers, barring gross negligence in our architectural implementation.
5. Engagement Termination
Either party may sever the engagement with 30 days written cryptographic notice, subject to the settlement of all outstanding engineering tranches. Upon termination, Arutech will execute a secure handover of all client-owned logic and destroy local enclaved data pertaining to the Client, adhering to our Zero-Leakage perimeter standards.
6. Jurisdictional Governance
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any architectural disputes shall be resolved in the competent courts of London, UK.
